These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and NIMNTRN (निमंत्रण) ("we," "us," or "our"), governing your access to and use of the website nimntrn.com, the NIMNTRN application platform, and all related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization (such as a venue or event planning business), you represent that you have the authority to bind that organization to these Terms.

NIMNTRN provides a platform for creating and managing digital wedding invitations, including:

• Cinematic digital wedding invitation website creation and customization
• Guest list management and RSVP tracking
• WhatsApp-based guest notifications and event reminders
• Photo and video sharing galleries for events
• Partnership programs for event venues and wedding planners

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at legal@nimntrn.com if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5.1 Your Content

You retain ownership of all content you upload, create, or share through our Services ("User Content"), including photos, videos, text, guest lists, and event details. By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your content solely for the purpose of providing and improving our Services.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights and permissions to use and share the content
• Your content does not infringe any third-party intellectual property rights
• Your content does not contain unlawful, defamatory, obscene, or harmful material
• You have obtained consent from individuals whose personal information or images you include

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice. We are not obligated to monitor User Content but may do so at our discretion.

Certain features of our Services require payment. All fees are listed on our platform and are quoted in Indian Rupees (INR) unless otherwise stated. By purchasing a plan or service, you agree to pay the applicable fees.

• Payments are processed securely through third-party payment providers
• All fees are non-refundable unless otherwise specified in our refund policy
• We reserve the right to change pricing with reasonable advance notice
• Failure to pay may result in suspension or termination of your account

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unsolicited messages, or bulk communications to non-guests
• Upload malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or use automated tools to extract data from our platform
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Services for any purpose other than personal or authorized business use
• Reverse engineer, decompile, or disassemble any part of our platform

All content, features, and functionality of the Services — including but not limited to the website design, text, graphics, logos, icons, images, templates, software, and the NIMNTRN brand — are owned by us or our licensors and are protected by Indian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without our prior written consent.

Our Services may integrate with or contain links to third-party services, including WhatsApp, Google Analytics, and payment processors. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and policies.

Our partnership programs for event venues and event planners are subject to additional terms provided during the partnership application process. Partners must comply with these Terms in addition to any partnership-specific agreements. We reserve the right to modify or terminate partnership arrangements at our discretion.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or timeliness of any content on our platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NIMNTRN AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless NIMNTRN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@nimntrn.com. We will make good-faith efforts to resolve any dispute within 30 days.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised effective date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
